内容摘要：Corporate
governance has become one of the most significant developments in business in
the last 20 years. The global impact of business, through multinational and
transnational companies, has demanded changes to the governance of boards of
directors of Australian companies. There
is no one successful system, but there is evidence that good quality governance
can improve share performance and sustainability of public companies listed on
stock exchanges. Different legal
frameworks and regulation do not impact on the need for good governance. Australia has case law, legislation and ASX
governance codes to facilitate good governance.
One issue is composition of boards, the role of gender (women on boards)
and diversity. The final part of the
seminar is on legal education in Australia and the part lawyers play in making
better governance decisions for corporations.
